Welcome to Flock, a website operated by FLOCKASIA PTE. LTD. (“Flock”). These Terms and Conditions ("Terms") govern your access to and use of the Flock website, services, events, and any related features (collectively, the "Services"). By accessing our website, completing a matching quiz, purchasing a ticket, joining any Flock-related Telegram group, or attending a Flock gathering, you agree to be bound by these Terms.

If you do not agree with these Terms, please do not use the Services.

1. About Flock

Flock is a Singapore-based social platform designed to facilitate small, cosy, and intentional gatherings for thoughtful people. Flock curates and facilitates access to a variety of in-person social activities (for example, meals, sports, games, or interest-based gatherings).

Flock is not a dating service, professional networking service, or mental health service.

No Partnership, Agency, or Joint Venture

Nothing in these Terms, or in Flock’s facilitation of any gathering, shall be deemed to create any partnership, joint venture, agency, employment, or fiduciary relationship between Flock and any participant, venue, service provider, or third party.

Flock does not act as an agent, representative, or intermediary of any restaurant, venue, or service provider, and has no authority to bind or make representations on behalf of any such third party.

Flock currently operates without a native mobile application and uses third-party platforms, including but not limited to:

  • Shopify (ticket purchases and payments)

  • Tally (matching and personality quizzes)

  • Telegram (private group coordination)

Your use of these third-party services is also subject to their own terms and policies, which Flock does not control.

2. Eligibility

By using Flock, you confirm that:

  • You are at least 21 years old;

  • You have the legal capacity to enter into a binding agreement; and

  • All information you provide is accurate, complete, and truthful.

Flock reserves the right to refuse access to the Services or participation in any gathering at its discretion.

3. Tickets, Pricing, and Payments

Ticket Purchases

All ticket purchases are processed via third-party payment providers (e.g. Shopify). Prices are displayed in the relevant currency and may include applicable taxes unless stated otherwise.

You acknowledge that the ticket fee paid to Flock covers reservation facilitation and access to a curated community only. Ticket fees do not include the cost of food, beverages, taxes, gratuities, or any other charges imposed by third-party venues or service providers, which shall be paid by you directly to such third parties.

Refunds and Cancellations

Tickets are generally non-refundable and non-transferable. However, a refund may be granted only if:

  • You notify Flock of your cancellation at least forty-eight (48) hours prior to the scheduled start time of the relevant gathering; and

  • The request complies with any event-specific conditions communicated at the point of purchase.

Any cancellation request made less than 48 hours before the event, or any failure to attend for any reason, shall not entitle you to a refund, credit, or rescheduling.

Flock reserves the right to cancel, reschedule, or modify events. In such cases, refunds or credits (if any) will be determined at Flock’s discretion.

4. User Conduct

By using Flock, you agree to:

  • Treat other participants, hosts, and venue staff with respect;

  • Refrain from harassment, discrimination, hate speech, or threatening behaviour;

  • Follow all event-specific guidelines and local laws; and

  • Respect privacy and confidentiality of other participants.

Flock may at its discretion remove you from an event, Telegram group, or future participation without refund if you violate any of these standards.

5. Safety, Background Checks & Personal Responsibility

Platform-Only Role; No Supervision

Flock provides a platform to facilitate social reservations and group coordination at third-party restaurants and venues. All gatherings are unhosted.

Flock does not:

  • Provide on-site staff, hosts, security personnel, or supervision at any physical event location; or

  • Monitor, control, or oversee the conduct of participants during gatherings.

You acknowledge that Flock is not responsible for the actions, omissions, or conduct of any participant, before, during, or after any gathering.

No Background Checks

Flock does not conduct criminal background checks, identity verification, or screenings on participants, hosts, or attendees.

You acknowledge that:

  • You interact with other participants entirely at your own risk; and

  • Flock makes no representations regarding the character, background, history, or conduct of any participant.

Assumption of Risk and Waiver

To the fullest extent permitted by law, you voluntarily and knowingly assume all risks arising out of or in connection with your participation in any Flock gathering, whether such risks are known or unknown, foreseeable or unforeseeable.

These risks may include, without limitation, personal injury, illness, allergic reactions, emotional distress, harassment, property loss, disputes, or the acts or omissions of other participants or third parties.

You hereby waive, release, and discharge Flock, its founders, officers, employees, contractors, and partners from any and all claims, demands, causes of action, losses, or liabilities arising out of or relating to your participation in any gathering, except where such liability cannot be excluded under applicable Singapore law.

Personal Safety

You are solely responsible for your personal safety, decisions, and behaviour before, during, and after any gathering. Flock has no duty to supervise, intervene, or ensure participant safety.

6. Food, Allergens & Health Disclaimer

Some Flock gatherings may involve food and beverages, whether prepared by third-party venues, hosts, or other participants.

Flock:

  • Does not guarantee allergen-free food; and

  • Relies on information provided by venues or third parties, which may be incomplete or inaccurate.

You are the final checkpoint for your own health and safety. It is your responsibility to:

  • Communicate your allergies or dietary restrictions directly to venue staff;

  • Verify ingredients independently; and

  • Decide whether it is safe for you to consume any food or beverage.

By attending a food-related gathering, you voluntarily assume all risks associated with food consumption, including allergic reactions, illness, or adverse health effects.

7. Third-Party Venues & Activities

Flock gatherings take place at third-party venues and may involve third-party service providers (including but not limited to restaurants, sports facilities, instructors, or equipment providers).

Flock acts solely as a facilitator of reservations and introductions and does not own, operate, manage, or control any venue or service provider.

Accordingly, Flock:

  • Makes no warranties or representations regarding the quality, safety, hygiene, legality, or suitability of any venue or service; and

  • Shall not be responsible or liable for any acts, omissions, negligence, injuries, losses, damages, delays, disputes, or cancellations attributable to third parties.

Any issues, complaints, or disputes relating to venues, food and beverage service, or activities must be resolved directly with the relevant third party.

8. Telegram Groups & Communications

Participation in a Flock event may require joining a private Telegram group.

You acknowledge that:

  • Telegram is a third-party platform governed by its own terms and privacy practices;

  • Messages and interactions within Telegram are not fully controlled by Flock; and

  • Other participants may view your username, profile photo, or messages.

Flock is not responsible for content shared by participants in Telegram groups.

9. Content Rights

By participating in any Flock gathering or event, you acknowledge and agree that photographs, audio recordings, and video recordings may be taken during the event.

You grant Flock a non-exclusive, royalty-free, worldwide licence to use, reproduce, publish, distribute, and display such content for Flock’s marketing, promotional, and communication purposes, including on social media platforms and third-party marketing channels.

While Flock will use reasonable efforts to consider requests for the removal of specific images or recordings, such requests will be assessed on a case-by-case basis, and Flock does not guarantee immediate removal, except where required by law or in emergency situations.

This clause survives termination of your participation in the Services.

10. Intellectual Property

All content on the Flock website (including branding, text, graphics, and logos) belongs to Flock or its licensors and may not be used without prior written consent.

11. Termination and Suspension

Flock may, at its sole discretion and without prior notice, suspend or terminate your access to the Services, cancel your participation in any gathering, or remove you from any associated Telegram group if Flock reasonably believes that you have breached these Terms, violated applicable laws, or engaged in conduct that is inappropriate, unsafe, disruptive, or inconsistent with the nature of the Services.

Termination or suspension for such reasons shall be without refund or compensation.

Flock also reserves the right to discontinue or modify the Services (in whole or in part) at any time.

Upon termination, your right to access or participate in the Services shall immediately cease. Clauses which by their nature should survive termination, including limitation of liability, indemnity, assumption of risk, content usage rights, and governing law, shall continue to apply.

12. Limitation of Liability

To the fullest extent permitted by law:

  • Flock shall not be liable for any indirect, incidental, special, or consequential damages; and

  • Flock’s total liability, if any, shall not exceed the amount paid by you for the relevant ticket.

This includes, without limitation, liability arising from personal injury, emotional distress, loss of enjoyment, food reactions, venue issues, or participant conduct.

13. Indemnity

You agree to indemnify and hold harmless Flock, its founders, employees, and partners from any claims, losses, or damages arising out of:

  • Your participation in any gathering;

  • Your interactions with other participants;

  • Your breach of these Terms.

14. Privacy

Your personal data will be handled in accordance with Flock’s Privacy Policy and applicable Singapore data protection laws.

15. Force Majeure

Flock shall not be liable for any delay, failure to perform, cancellation, modification, or disruption of any gathering or the Services where such delay or failure results from events beyond Flock’s reasonable control, including but not limited to acts of God, natural disasters, fire, flood, pandemic, epidemic, public health emergencies, governmental orders or restrictions, war, terrorism, civil unrest, labour disputes, power or internet outages, venue unavailability, or failures of third-party platforms or service providers.

In such circumstances, Flock shall have no obligation to provide refunds or compensation beyond what is required under applicable law.

16. Changes to These Terms

Flock may update these Terms from time to time. The updated version will be posted on the website with a revised "Last updated" date. Continued use of the Services constitutes acceptance of the revised Terms.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of Singapore. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
